This Service Agreement (“Agreement”) governs the terms and conditions under which Paneah Capital LLC, a Georgia limited liability company (“Paneah Capital,” “Company,” “We,” or “Us”), provides access to The Sword Edge™ Membership Program (“The Sword Edge™,” “Program,” or “Membership”) to the individual or entity (“Member,” “You,” or “Participant”) who purchases or accesses the Program through our online platform. By enrolling in The Sword Edge™, You acknowledge that You have read, understood, and agree to be bound by all terms of this Agreement.
This Agreement constitutes a legally binding contract between Paneah Capital LLC and the Member. If You do not agree to the terms herein, You must not purchase, access, or participate in the Program.
SECTION 1: DEFINITIONS
For purposes of this Agreement, the following definitions shall apply. “Program” or “Membership” refers to The Sword Edge™, a subscription-based strategic intelligence and economic analysis membership delivered through live online sessions, written reports, video archives, and related digital content. “Company” refers to Paneah Capital LLC, its employees, agents, contractors, successors, or assigns. “Member” refers to any individual or entity who purchases access to the Program. “Content” refers to all videos, reports, written materials, recordings, class sessions, commentary, analysis, digital assets, community discussions, and intellectual property distributed within or as part of the Program. “Website” refers to the digital platforms through which the Program is hosted, including but not limited to TheSwordMembership.com, PaneahCapital.com, and any designated learning portals. “Subscription Term” refers to the recurring thirty-day period for which the Member receives access to the Program.
SECTION 2: DESCRIPTION OF THE PROGRAM
The Sword Edge™ is a subscription-based membership designed to provide economic intelligence, macroeconomic insight, technical analysis, geopolitical commentary, policy interpretation, research-based perspectives, and educational material to Members. The Program includes live weekly intelligence sessions, written weekly reports, access to a vault of replays and archived sessions, access to the seven analytical divisions of The Sword Edge™, and access to a private online community.
The Program is educational in nature. It is not a financial advisory service, investment management service, broker-dealer service, fiduciary service, trading signal service, or financial planning service. Paneah Capital LLC does not provide personalized investment advice, individualized suitability recommendations, or specific trading instructions within The Sword Edge™. The Program provides general educational information and market analysis for informational purposes only.
The Company reserves the right, in its sole discretion, to modify, revise, add to, or remove any component of the Program, including but not limited to its curriculum, structure, schedule, delivery format, technology platform, or community features. Such changes may occur without prior notice. Members understand and agree that the continued use of the Program constitutes acceptance of any modifications.
SECTION 3: TERM AND ACCESS RIGHTS
Access to the Program is granted on a monthly subscription basis beginning on the date of purchase. The Subscription Term renews automatically every thirty days unless and until the Member cancels their subscription through the membership portal or by contacting Customer Support in accordance with this Agreement.
Members are granted a limited, non-exclusive, non-transferable, revocable license to access the Program Content solely for personal, non-commercial use during the Subscription Term. Access is conditional upon continued, timely payment of the subscription fee.
The Company reserves the right to terminate or suspend Member access at any time for violation of this Agreement, misconduct within the community, misuse of Program Content, harassment, unlawful behavior, or any conduct deemed harmful to other Members or to the integrity of the Program.
Upon cancellation or termination of access, the Member immediately loses access to the Program, including live sessions, reports, archives, community discussions, and all related Content.
SECTION 4: PAYMENT TERMS AND BILLING POLICY
The Program is billed at the rate of $250 per month unless otherwise specified at checkout. By purchasing a subscription, the Member authorizes Paneah Capital LLC and its payment processor to charge the Member’s designated payment method automatically on a recurring monthly basis for the duration of the Membership.
The Member agrees to maintain accurate and updated billing information. Failed payments may result in immediate suspension of access to the Program until payment is successfully processed. Continued failure to remit payment may result in termination of the subscription.
No prorated refunds are provided for partial use of a Subscription Term. Access continues until the end of the then-current billing cycle, regardless of usage.
SECTION 5: CANCELLATION POLICY
The Sword Edge™ is a cancel-anytime membership. Members may cancel at any time, for any reason, through the account portal or by submitting a written cancellation request via the designated support email. Cancellations take effect at the end of the current billing cycle. The Member retains access until the expiration of that period.
Cancellation requests must be submitted at least 48 hours before the scheduled renewal date to ensure that the next charge is not processed. Any cancellation submitted after that window may result in one final automated charge, which will not be refunded.
SECTION 6: NO REFUNDS POLICY
All payments made to Paneah Capital LLC for The Sword Edge™ are final and non-refundable.
The Member acknowledges that by purchasing the Program, they gain instant access to proprietary reports, replays, and community resources, and therefore no refunds are permitted under any circumstances. This includes but is not limited to dissatisfaction with the Content, disagreement with analytical perspectives, scheduling conflicts, changes in financial circumstances, lack of participation, perceived slow progress, or changes in market conditions.
The Member further acknowledges that the Program consists of live sessions delivered in real time, which require preparation, research, and professional analysis. The Member understands that Paneah Capital’s time, expertise, and intellectual property cannot be returned, reclaimed, or reversed, and therefore all sales are final.
The Member agrees not to file payment disputes, chargebacks, or bank claims in an attempt to circumvent this No Refunds Policy. Any such action will constitute a breach of this Agreement and may result in legal remedies, collection of outstanding fees, termination of access, and reporting of fraudulent claims to appropriate authorities. Paneah Capital reserves all rights to pursue damages and legal costs associated with improper disputes.
SECTION 7: NO FINANCIAL, LEGAL, OR INVESTMENT ADVICE
The Sword Edge™ provides educational content, economic intelligence, and market analysis for informational purposes only. Nothing presented within the Program constitutes personalized financial advice, investment recommendations, securities analysis tailored to individual circumstances, or legal counsel.
Paneah Capital LLC is not a registered investment advisor, broker-dealer, financial planner, tax advisor, or legal professional. The analysis presented is general in nature and may not be suitable for your financial situation, risk tolerance, or investment objectives. Members must consult qualified professionals for decisions involving personal financial risk.
Markets are inherently uncertain. Past performance, backtesting, or historical analysis does not guarantee future results. Members assume all responsibility for their decisions and actions in financial markets.
Under no circumstances shall Paneah Capital LLC, its officers, agents, or affiliates be liable for any losses, damages, or claims arising from trading activity, investment choices, or interpretation of Program Content.
Membership in The Sword Edge™ does not create any advisor-client relationship between the Member and Paneah Capital.
SECTION 8: INTELLECTUAL PROPERTY RIGHTS
All recordings, reports, content, materials, frameworks, analytical methods, real-time sessions, transcripts, videos, PDFs, research, and commentary contained within The Sword Edge™ are the intellectual property of Paneah Capital LLC and are protected under United States copyright law, trade secret law, trademark law, and international treaties.
Members are prohibited from recording, reproducing, distributing, sharing, posting, selling, republishing, or otherwise disclosing any Program Content publicly, privately, digitally, or physically. This includes sharing Zoom links, posting notes online, distributing reports to non-members, or teaching the proprietary Sword Method.
Unauthorized duplication, transmission, or distribution constitutes infringement and may result in civil liability, damages, injunctive relief, termination of membership, and legal action. The Company reserves the right to pursue full restitution and legal remedies under applicable laws.
Membership does not convey any ownership rights to intellectual property. The Member receives a limited, temporary license for personal use only.
SECTION 9: CONFIDENTIALITY AND NON-DISCLOSURE
All information shared within The Sword Edge™, whether delivered live, written, or recorded, is considered confidential and proprietary to Paneah Capital LLC. This includes but is not limited to economic insights, analytical frameworks, strategic interpretations, market breakdowns, commentary, discussions within the private community, Member questions, and all content generated during sessions.
By enrolling, the Member agrees to maintain strict confidentiality of all Program Content. The Member shall not disclose, reproduce, distribute, or reference any Content for commercial, public, or instructional purposes without the express written consent of Paneah Capital LLC. The Member shall not use any Content to establish competing services, educational programs, newsletters, memberships, advisory offerings, or public commentary that draws upon or attempts to replicate the intellectual property of The Sword Edge™.
Unauthorized disclosure or use of Content constitutes a material breach of this Agreement and may result in immediate termination, civil damages, injunctive relief, and any additional legal remedies available under applicable law. Paneah Capital LLC reserves the right to seek compensation for all losses, including legal fees and damages, arising from violations of this clause.
Confidentiality obligations remain in effect indefinitely, even after termination or cancellation of the Membership.
SECTION 10: MEMBER CONDUCT AND COMMUNITY EXPECTATIONS
Members agree to conduct themselves with professionalism, respect, and integrity within all Sword Edge™ platforms, discussions, chats, and live sessions. Disrespectful, disruptive, abusive, defamatory, or antagonistic behavior will not be tolerated. This includes harassment, aggressive messaging, solicitation of other Members, argumentative conduct, or any attempt to create discord within the community.
Members shall not disparage Paneah Capital, The Sword Edge™, its employees, agents, or other Members. Any attempt to undermine, insult, defame, or obstruct the operations of the Program may result in removal without refund and potential legal action.
Participation in the community is a privilege, not a right. Paneah Capital LLC reserves the sole discretion to remove any Member whose conduct is deemed inappropriate or damaging to the safety, culture, or integrity of the Program.
All Members agree that participation in the community is not an opportunity for self-promotion, business solicitation, recruiting, prospecting, financial enticement, or attempting to redirect Members to external services or communities.
SECTION 11: NO GUARANTEE OF RESULTS
The Sword Edge™ provides education, analysis, frameworks, and strategic intelligence, but makes no guarantee regarding financial outcomes, trading success, investment returns, or personal results of any kind. Trading and investing involve risk, including the potential loss of principal. The Member acknowledges that all market participation is voluntary and carries inherent uncertainty.
Paneah Capital LLC does not guarantee that participation in the Program will result in profits, improved performance, increased knowledge, or personal transformation. The Member is solely responsible for applying the concepts taught within the Program and for all financial decisions made before, during, or after participating in The Sword Edge™.
The Member acknowledges that no representation, promise, or commitment has been made regarding any particular financial outcome.
SECTION 12: TECHNOLOGY, ACCESS, AND AVAILABILITY
The Company will make reasonable efforts to ensure continuous access to Program Content, live sessions, and the online membership portal. However, Paneah Capital LLC makes no guarantee regarding uninterrupted service, error-free operation, or permanent availability of Content. Scheduled maintenance, updates, or unexpected technical issues may interrupt service temporarily.
Members are responsible for maintaining their own internet access, devices, and software necessary to participate in the Program. The Company is not responsible for connection issues, device failures, or Member-specific technological limitations.
Paneah Capital LLC reserves the right to change the delivery platform, hosting software, session format, or access method at any time, without notice, to ensure quality and continuity of the Program.
SECTION 13: RECORDING AND MEDIA RELEASE
By participating in live sessions, community discussions, or any interactive component of The Sword Edge™, the Member grants the Company permission to record, archive, store, and use such sessions for educational or administrative purposes within the Program. This includes the use of the Member’s voice, comments, chat contributions, and any questions asked during live sessions.
Recordings are property of Paneah Capital LLC and may not be copied, shared, or distributed by the Member under any circumstances. Members shall not record any portion of live sessions using third-party tools, screen capture software, or any method of audiovisual reproduction.
The Member waives any claim to compensation for participation in recorded content used internally within the Program.
SECTION 14: LIMITATION OF LIABILITY
To the fullest extent permitted by law, Paneah Capital LLC, its officers, employees, agents, contractors, and affiliates shall not be held liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from or related to this Program.
This includes, without limitation, financial losses, trading losses, lost profits, lost opportunities, business interruptions, data loss, emotional distress, or any damage resulting from reliance on Program Content, market volatility, technology issues, or Member actions.
The Member acknowledges that they are solely responsible for their trading and investment decisions. Paneah Capital LLC provides educational information and strategic analysis only, and does not assume responsibility for the Member’s application of such information.
If liability is imposed by law despite the foregoing limitations, the total liability of Paneah Capital LLC shall not exceed the amount paid by the Member during the immediately preceding Subscription Term.
SECTION 15: INDEMNIFICATION
The Member agrees to indemnify, defend, and hold harmless Paneah Capital LLC and its officers, agents, employees, contractors, successors, and assigns from all claims, damages, liabilities, losses, expenses, and legal fees arising from:
a) the Member’s participation in the Program;
b) misuse or unauthorized distribution of Program Content;
c) violation of this Agreement;
d) trading or investment activities conducted by the Member;
e) any action taken based on interpretations of Program Content;
f) any disputes initiated improperly, such as chargebacks or bank claims;
g) defamatory statements or public commentary related to the Program.
This indemnification survives termination of the Membership and remains enforceable indefinitely.
SECTION 16: NON-DISPARAGEMENT
The Member agrees that they shall not make or publish any false, defamatory, negative, or disparaging statements regarding Paneah Capital LLC, The Sword Edge™, or its representatives. This includes verbal statements, written statements, online comments, social media posts, reviews, discussions, or any public or private communication intended to harm the reputation, credibility, or business operations of the Company.
Violation of this clause constitutes a material breach and may result in legal action, including claims for damages and injunctive relief.
SECTION 17: FORCE MAJEURE
Paneah Capital LLC shall not be held responsible for delays, interruptions, or inability to fulfill obligations due to circumstances beyond its control, including but not limited to natural disasters, acts of God, war, terrorism, pandemics, governmental restrictions, labor disputes, power failures, or technological disruptions. In such cases, obligations shall be suspended for the duration of the disruption.
SECTION 18: GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflicts of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Georgia, unless otherwise required by law.
SECTION 19: ARBITRATION AGREEMENT
Any dispute, controversy, or claim arising out of or relating to this Agreement, the Program, or the relationship between the parties shall be resolved through final and binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the State of Georgia unless otherwise agreed in writing.
The Member waives the right to participate in class actions, collective actions, or public litigation involving this Program. Each dispute shall be handled individually.
SECTION 20: ENTIRE AGREEMENT
This Agreement constitutes the complete understanding between the Member and Paneah Capital LLC regarding The Sword Edge™. It supersedes all prior agreements, communications, or representations, whether written or oral.
The Company reserves the right to update or revise this Agreement at any time. Continued participation in the Program constitutes acceptance of any modifications.
SECTION 21: AMENDMENTS AND MODIFICATIONS
Paneah Capital LLC reserves the right, at its sole discretion, to amend, update, revise, or modify any portion of this Agreement at any time. Amendments may include changes to the Program structure, pricing, Content access, community rules, or legal terms.
Any such modification becomes effective immediately upon posting through the Member portal, email notification, or the Company’s website. The Member’s continued participation in the Program after the posting of changes constitutes acceptance of the revised Agreement.
It is the Member’s responsibility to review this Agreement periodically for updates. No modification made by the Member shall be binding unless expressly agreed to in writing and signed by an authorized representative of Paneah Capital LLC.
SECTION 22: NON-COMPETE AND NON-SOLICITATION
The Member agrees not to create, develop, manage, or participate in any competing membership, strategic intelligence community, trading education service, economic research group, paid newsletter, or advisory program that directly or indirectly utilizes, imitates, or is inspired by The Sword Edge™ intellectual property, analytical frameworks, teaching methods, or structure.
For the duration of the Membership and for a period of two years following cancellation, the Member agrees not to solicit other Members for business opportunities, coaching, recruiting, alternative groups, or competing products. Any attempt to divert Members, extract clients, or build a competing audience constitutes a breach of this Agreement.
Paneah Capital LLC reserves all rights to pursue legal remedies, including injunctions, damages, and enforcement of equitable relief.
SECTION 23: SEVERABILITY
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be deemed modified or removed to the extent necessary to make it enforceable. All remaining provisions shall remain in full force and effect.
SECTION 24: NO WAIVER
Failure by Paneah Capital LLC to enforce any right, provision, or clause of this Agreement shall not constitute a waiver of such right or provision. No waiver shall be valid unless provided in writing and signed by the Company.
SECTION 25: ASSIGNMENT
The Member may not assign, transfer, sublicense, or delegate any rights or obligations under this Agreement without the prior written consent of Paneah Capital LLC. The Company may assign or transfer its rights and obligations under this Agreement to a successor entity, affiliate, or purchaser in the event of merger, reorganization, sale, or restructuring.
SECTION 26: DIGITAL COMMUNICATION CONSENT
By enrolling in The Sword Edge™, the Member consents to receive electronic communications from Paneah Capital LLC, including program updates, notices, policy changes, billing notifications, community announcements, and educational alerts. Communications may be delivered via email, platform notifications, or other digital formats.
The Member acknowledges that electronic communications satisfy any legal requirement that such communications be in writing.
SECTION 27: ACKNOWLEDGMENT OF PERSONAL RESPONSIBILITY
The Member acknowledges, understands, and agrees that all decisions made before, during, or after participation in The Sword Edge™ — including but not limited to trading decisions, investment strategies, risk management, and financial planning — are solely the Member’s responsibility.
Paneah Capital LLC is not responsible for the Member’s market activity, trading losses, missed opportunities, or misinterpretations of Content. Members understand that markets are unpredictable, volatile, and inherently risky.
Participation in the Program does not guarantee competence, skill mastery, or superior outcomes. Members must apply discernment, critical thinking, and caution when acting on any analysis or information provided.
SECTION 28: REPRESENTATIONS AND WARRANTIES
By entering this Agreement, the Member represents and warrants the following:
The Member is at least eighteen years of age and legally capable of entering into a binding contract. The Member is not enrolling on behalf of a third party without authorization. The Member is not a competitor or acting on behalf of a competing organization. All information provided to Paneah Capital LLC is accurate and truthful. The Member will comply with all terms of this Agreement and all applicable laws.
Paneah Capital LLC makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of Content provided. All Content is provided “as is” and “as available.”
SECTION 29: DATA PRIVACY AND SECURITY
Paneah Capital LLC collects and processes Member data in accordance with applicable laws for the purpose of membership administration, communication, and service delivery. The Company uses reasonable commercial efforts to protect personal information but does not guarantee immunity from cyberattacks, data breaches, or unauthorized access.
Members are responsible for safeguarding their login credentials. Sharing login information with any individual or entity is strictly prohibited. Any unauthorized access resulting from Member negligence shall not hold Paneah Capital liable.
SECTION 30: TERMINATION FOR BREACH
Paneah Capital LLC reserves the right to immediately terminate a Member’s access to the Program, without refund, if the Member engages in any conduct that violates this Agreement, including but not limited to:
Sharing or distributing Program Content. Harassment of Members or staff. Attempting to reverse-engineer the Sword Method. Unauthorized recording of sessions. Disparagement or defamation of Paneah Capital or The Sword Edge™. Chargebacks or fraudulent payment disputes. Disruptive conduct in live sessions or community spaces. Violation of confidentiality or non-compete provisions.
Termination for breach may include legal action and pursuit of damages.
SECTION 31: SURVIVAL OF PROVISIONS
All clauses relating to confidentiality, intellectual property, payment obligations, non-disparagement, non-compete, limitation of liability, indemnification, governing law, and arbitration shall survive termination of Membership and remain enforceable indefinitely.
SECTION 32: HEADINGS
Headings and titles within this Agreement are provided for organizational clarity only and carry no legal effect or interpretive value.
SECTION 33: VOLUNTARY PARTICIPATION
The Member affirms that participation in The Sword Edge™ is entirely voluntary. The Member enters this Agreement freely, without coercion, and with full understanding of its terms.
